Terms of Service

These Terms & Conditions (“Agreement”) are entered into between the client (“Client”, “You”) and Opticwave (“Service Provider”, “We”, “Us”), governing the use of our video editing, content strategy, and marketing services. By engaging our services, you acknowledge and agree to the following terms:
1. Overview of Services
Opticwave provides professional video editing, content repurposing, content strategy, social media management, thumbnail design, and distribution services as outlined on our website or in the project scope agreed upon. Services are tailored to the Client’s needs and project brief.
2. Client Responsibilities
To ensure an efficient and high-quality workflow, the Client agrees to provide:
- All raw footage required for the edit (organized and labeled: “1st Footage”, “2nd Footage”, etc.)
- A finalized script or key talking points (or, if scriptwriting is required, sufficient details to generate a script)
- Any specific visual content suggestions or references (optional; bracketed within the script if applicable)
Failure to provide these materials on time may delay delivery and affect final output.
3. Payment Terms
- A 50% upfront payment is required to initiate the project.
- The remaining 50% balance is due upon project completion, prior to final file delivery.
- For retainer/monthly clients: invoices follow Net 7 or Net 14 terms as per agreement.
- Late payments may incur a 5% late fee per week past the due date.
We reserve the right to pause or terminate services for non-payment.
4. No-Risk Satisfaction Guarantee
We stand by our edits with a Love Your Edit, or We’ll Fix It Free policy. If you’re not fully satisfied with your first draft, we’ll revise it at no extra charge until it aligns with your vision. Your satisfaction is our top priority.
5. Review & Feedback
After delivery, we encourage Clients to share feedback or a brief testimonial video, including:
- Your name
- Our agency name: “Opticwave”
- The service purchased
- Your honest experience — the good, the bad, or the real
This helps us improve and better serve our community.
6. Ownership of Content
Upon final payment, the Client receives full ownership and usage rights to all delivered content. We reserve the right to showcase select work (unless bound by NDA) in our portfolio, unless the Client requests otherwise in writing.
7. Refund & Cancellation Policy
- If a project is canceled before editing begins, a refund minus a 10% administrative fee will be issued.
- If editing has already started, the upfront payment becomes non-refundable.
- For retainer clients: cancellations require 7 days’ written notice before the next billing cycle.
- No refunds will be issued for completed and delivered services.
8. GDPR & Privacy Compliance
We are committed to data security and GDPR compliance. All client materials are treated as confidential and are not shared with third parties without consent. We use secure cloud services and encrypted communication to protect your data.
9. Appreciation
We value respectful communication and mutual trust. Opticwave thrives on collaboration and transparency—we appreciate your commitment to working with us.
10. Acceptance of Terms
By submitting payment, signing a project agreement, or confirming engagement via email or platform, you accept these Terms & Conditions as binding. Both parties agree to honor this agreement in good faith
